2024 Annual Meeting Bylaw Changes

Article IIIV A section 1

Current Language

The Board of Directors of the MWPC Education Fund shall be composed of no fewer than ten and no more than 20 members in good standing, as follows:

Proposed Language

The Board of Directors of the MWPC Education Fund shall be composed of no fewer than ten and no more than 25 members in good standing, as follows:

Article XIII, Amendments

Current Language

These Bylaws may be amended in whole or in part at the Annual Meeting by two-thirds (2/3) of the voting members present and voting upon such amendment(s), provided that notice is given in accordance with Article XI D above of the meeting at which each such amendment is to be considered.

Proposed Language

These Bylaws may be amended in whole or in part by the Board of Directors at a regular meeting by two-thirds (2/3) vote of all members present and voting. The Board of Directors shall present any such changes to the members at the next Annual Meeting with notice given in accordance with Article XI.D above.

Additionally, we seek to add an indemnification clause to the bylaws as Article VIII, section F

Proposed addition:
Provided a Board of Directors member meets her fiduciary duties and acts with reasonable care, the MWPC shall indemnify any Board of Directors member who is made a party to a proceeding, brought or threatened, as a consequence of the Board of Directors member acting in their official capacity. In the event a Board of Directors member is entitled to indemnification by the MWPC, the Board of Directors member shall be indemnified or compensated for reasonable expenses incurred as a consequence of being connected to the MWPC and serving in good faith on its behalf.
